David Otto advises asset managers, real-asset sponsors, and fintech infrastructure providers on the formation, distribution, and lifecycle governance of tokenized funds and real-world assets (RWAs). A career securities and capital-markets attorney, he pairs three decades of corporate finance, M&A, and governance experience with hands-on work across transactional and regulatory matters involving tokenization. He is the founding Managing Partner of Martin Davis PLLC and a founder of both CounterPointe Ventures (a blockchain technology investment vehicle) and CounterPointe Sports Group (focused on tokenized interests in professional sports franchises).

David’s current work includes structuring Reg D/Reg S tokenization structures for private credit and real-estate strategies; mapping token-holder rights under Howey/Reves; building PPM-grade risk factors and investor communications; and coordinating with fund admins, custodians, and regulated venues to enable auditable secondary pathways for token creation and distribution. He also has engaged in litigation representing token issuers against SEC and state regulators.

David has practiced for 37+ years and holds degrees from Harvard University (B.A.) and Fordham University School of Law (J.D.). He is admitted before the Supreme Court of the United States.
